Pinheiro Neto acts on R$1bn TIM-IHS JV
Pinheiro Neto Advogados advised TIM’s fiber optic business
HIS will receive the fiber assets for FiberCo, transferred by TIM. Under the agreement, IHS will acquire 51% of FiberCo’s share capital held by TIM S.A., so that 49% will remain under TIM’s ownership.
The total value of the agreement is R$1,636,590. The relationship between the partners will be governed by a shareholders’ agreement to be signed when the transaction is closed.
The agreement determines that TIM will be the anchor client, having the prerogative of exclusivity for 6 months after entering new areas through a Master Service Agreement.
This transaction is subject to compliance with certain conditions precedent, including, among others, the contribution of the assets described above and obtaining authorizations from the competent agencies, such as the National Telecommunications Agency (ANATEL) and the Administrative Council for Economic Defense (CADE).
