Pinheiro Neto advises Nutrien on receivables investment fund
Pinheiro Neto has counselled Nutrien Ltd. on its first capital markets’ deal in Brazil
Pinheiro Neto Advogados assisted Nutrien Ltd. on the structure and offering of a Receivables Investment Fund (FIDC) for its subsidiaries in Brazil. This is the first capital market deal entered by Nutrien in Brazil. The fund will provide funding for the operation of Nutrien Ltd. local subsidiaries. Initially, the fund will acquire receivables from 4 different Nutrien subsidiaries, but the structure is ready to absorb more subsidiaries, considering the aggressive expansion plans of Nutrien in Brazil.
Considering the challenges as the first deal of Nutrien in Brazilian Capital Markets Pinheiro Neto team had to creatively develop and negotiate with the relevant counterparties all the aspects pertaining the different needs and difficulties faced by the Nutrien Subsidiaries regarding the structure. Despite the complexity, the structure was successfully implemented in a challenging time frame. The fund reached more than $65 million.
