Pinheiro Neto advises on structuring of FIDC
Pinheiro Neto Advogados acted as advisor to the lead underwriter, portfolio manager, administrator and custodian of the receivables investment fund
The transaction involved the structuring of a receivables investment fund (FIDC), through which the clients of the Brazilian agribusiness company Adama Brasil S.A. could anticipate the payment of the receivables resulting from the sale and purchase transactions carried out with Adama.
The FIDC issued BRL 300,000,000.00 in senior, mezzanine and junior quotas (in aggregate).
Pinheiro Neto Advogados advised FARM Investimentos Gestão de Recursos Ltda., portfolio manager of the FIDC, Banco Itaú BBA S.A., lead underwriter of the public offering, and Oliveira Trust Distribuidora de Títulos e Valores Mobiliários S.A., administrator and custodian of the FIDC, and included the partners Enrico Bentivegna (pictured left), Tiago Lessa (pictured right), senior associate Rafael Gaspar, mid-level associate Winnie Tya Tchi Li and junior associates Brenno Allaim de Sousa, Elena Carrasco and trainee Gabriel Freitas Alves do Santos.
