Pinheiro Neto advises TIM on R$ 950M I-Systems reacquisition

Pinheiro Neto Advogados advised TIM Brasil on the agrrement to reacquire a 51% stake in I-Systems Soluções de Infraestrutura from IHS Fiber Brasil – Cessão de Infraestruturas for R$ 950 million, regaining full ownership of the fibre infrastructure vehicle it had partially divested in 2021.

TIM had originally sold a 51% interest in I-Systems to IHS as part of a strategic transaction aimed at accelerating the development of a neutral fibre network platform in Brazil. Through this new deal, the telecoms operator will once again become the sole shareholder of the company, consolidating control over an asset that covers approximately 9 million homes passed across several Brazilian states and operates on a wholesale, open-access basis.

The transaction marks a significant step in TIM’s broadband strategy, enabling the company to internalise operational efficiencies and reposition itself for further growth in the FTTH segment. Closing remains subject to customary conditions precedent, including clearance from Brazil’s antitrust authority CADE and telecoms regulator ANATEL.

Pinheiro Neto Advogados advised TIM on the acquisition and had also represented the company in the original 2021 partial divestment, positioning the firm at the centre of both the structuring of the joint venture and the subsequent return to full ownership.

The mandate was led by M&A partner Marcelo Viveiros de Moura (pictured left) and included associates Miguel Arraes, Bruno Cruz and Eduardo Lemos, as well as legal assistant Pedro Henrique de Faria. Regulatory aspects were handled by telecom partner Tomás Paiva, counsel Vitor Alves and associate Caio Abreu de Moura.

IHS Fiber Brasil was represented by Mello Torres Advogados, with partners Alexandre Simões Pinto (pictured right) and Vinícius Alvarez leading the mandate.
