Pinheiro Neto Advogados assisted Embaré in the acquisition of Betânia, which sold part of its business to Arlon

The deal is a business combination between Betânia and Embaré, two of the main players of the dairy sector in Brazil that was structured so that 100% of Betânia was acquired by Embaré and 25.88% of Embaré was acquired by Arlon Food NE Participações. 

The transaction was worth R$ 1,700,000,000. Betânia’s shareholders agreed to migrate their investment from Betânia to Embaré, in such a way that Betânia will become, when closed, an integral subsidiary of Embaré.

In addition, Arlon has agreed to purchase additional shares representing 25.88% of Embaré’s capital stock.

Upon closing, Embaré will be owned by Embaré’s current shareholders, Arlon and Betânia, and Betânia will become a wholly-owned subsidiary of Embaré.
