Pinheiro Neto assists Zenvia in acquisition of D1 shares
Pinheiro Neto Advogados has assisted Zenvia, which has agreed to acquire 100% of the shares of One To One Engine Desenvolvimento e Licenciamento de Sistemas de Informática S.A. – Direct One (D1), a start-up that connects various communication plaftorms
Pinheiro Neto assisted Zenvia which acquired 100% of the shares of D1 from its founding shareholders, employees, and private equity investors.
The acquisition is part of Zenvia’s consolidation process and is subject to the completion of Zenvia’s initial public offering. Part of the payment will be made through the delivery of shares in the Zenvia IPO entity.
The transaction documents involved the negotiation of variable payments that depend on performance and also the terms and conditions for D1’s managers to remain in the Zenvia group.
