Pinheiro Neto counsels Cielo on debenture issuance
Brazilian law firm Pinheiro Neto has advised the country’s largest debt and credit card operator Cielo on its fifth issuance of debentures, which totalled 3 billion reais ($796.3 million), and the underwriters of a debenture issuance by local poultry exporter and protein producer BRF.
Banco Bradesco acted as ead underwriter, while Banco de Investimento acted as underwriter. The proceeds from the debentures were used by Cielo in the acquisition of bonds in a tender offer transaction.
The law firm’s team was led by partner Ricardo Simões Russo, with of counsel Marcos Saldanha Proença and legal aide Gustavo Guedes Araújo (legal aide). Monteiro Rusu Advogados acted as counsel to the manager, led by partners Roberto Pekelman Rusu and Allan Borba Bercht, with associayes Marina Lipener Fenerich and Vinícius Barros.
In a separate transaction, the law firm advised Banco de Investimento, as lead underwriter, and underwriters Banco Bradesco, Banco Citibank and Banco Votorantim on a first debenture issuance totalling 750 million reais ($199 million) by poultry exporter and protein producer BRF.
