Posse Herrera Ruiz advises Grupo Aúna on expansion into Colombia

Colombian law firm Posse Herrera Ruiz acted as legal adviser to Peruvian healthcare company Grupo Aúna on its acquisition of a 97.3-per cent stake in Colombian company Promotora Médica Las Américas.

SurgeryThe transaction was valued at 651 billion Colombian pesos ($200 milion), according to Grupo Empresarial Las Américas, which owns several health sector companies and operates a hospital in Medellín.

“The arrival of Aúna allows us to continue to move forward with the mission with which we created Grupo Las Américas, to contribute to quality healthcare in Colombia and continue to strengthen our healthcare services,” Grupo Las Américas director general Eduardo Vargas said.

The alliance aims to bring significant advances in terms of technological renewal, expansion and improvement of infrastructure, the opening of new clinics, an improvement in medical equipment and the development of human resources, he added. 

The transaction was authorised by Colombia’s Superintendence of Health, and the deal closed on December 27.

Grupo Aúna operates a network of clinics across Peru and is controlled by Peruvian private equity fund Enfoca. The acquisition of Promotora Médica Las Americas heralds the Peruvian company’s international expansion.

Posse Herrera Ruiz’s M&A team was led by partner Jaime Cubillos and associates Juliana Castaño and Juliana Zuñiga, while the financing team was led by partner Mariana Posse and associates Jesus Albarrán and Andrés Herrera.

Grupo Aúna was counselled in the US by law firm Sullivan & Cromwell, with the team led by partners Sergio J. Galvis and Werner F. Ahlers, and associates Joaquín Pérez Alati, Natalie J. Vesti and Virginia H. Cueva. The company was counseled in Peru by Rodrigo, Elías & Medrano, with a team led by partner Eduardo López and associates Rafael Villarán and Alejandro Araujo.
