PPU advises Medifarma on financing for Corpaul purchase

Philippi Prietocarrizosa Ferrero DU & Uría, through its teams in Colombia and Peru, has advised Laboratorios Medifarma on a financing granted by Itaú Chile – New York Branch to finance the purchase of Corpaul’s pharmaceutical business in Colombia. The loan is guaranteed by Medifarma Peru through a corporate guarantee.

This transaction, closed on 25 August, involved parties in Peru, New York and Colombia. Baker McKenzie acted as Colombian counsel to the lender, Skadden Arps Slate Meagher & Flom as New York counsel to the lender, and Holland & Knight as New York counsel to the borrower.

This was a key transaction for Medifarma, as it financed the company’s acquisition of a new pharmaceutical business in Colombia. Closing the financing required coordination with the closing under the SPA for the acquisition of Corpaul’s pharmaceutical business.
