PPU counsels IDB Invest on Farmalatam investment

Philippi Prietocarrizosa Ferrero DU & Uría has assisted the pharmaceutical on the transnational transaction

PPU Colombia and PPU Peru advised IDB Invest on its investment in the Panamanian company Farmalatam Holding Inc for S$8 million. Farmalatam Holding Inc is the holding company of the Farmalisto Group which participates in the healthcare markets in Colombia, Mexico and Peru through subsidiaries incorporated in those jurisdictions. Additionally, the investment made by IDB Invest was part of a capitalization round for an aggregate value of $18 million, in which HBM Healthcare Investments (main shareholder of Farmalisto) and the private equity fund Morgan Rio also participated.

This transaction involved a complex cross-border analysis of several significant legal matters in Colombia, Mexico and Peru. Remarkably, the healthcare sector has become the focus of policymakers due to the Covid-19 pandemic. As a result of this, the transaction’s structuring required a thorough analysis of the regulatory framework applicable to Farmalisto.
