PPU counsels lenders on $152m refinance

PPU Chile has advised Crédit Agricole, Mizuho, SMBC and BNP Paribas on a desalination plant refinancing for USD 152 million

 Philippi Prietocarrizosa Ferrero DU & Uría Chile has counselled Crédit Agricole Corporate and Investment Bank, Mizuho Bank, LTD., Sumitomo Mitsui Banking Corporation and BNP Paribas as lenders in the refinancing related to the ownership, operation, maintenance and potential expansion of a 400 litres per second capacity reverse osmosis desalination plant, together with related pipelines and all related infrastructure, located near Bahía Totoralillo, Chile. Cleaniartech Sudamérica S.A. was the borrower in the transaction.

This transaction was closed on 21 December 2021 for an amount of $152,869,247 US dollars.

Allen & Overy, acted as counsel to the lenders; Cleary Gottlieb Steen & Hamilton, as counsel to the borrower; Philippi Prietocarrizosa Ferrero DU & Uría, as Chilean counsel to the lenders; and Cuatrecasas, as Chilean counsel to the borrower.

The in-house counsels for the borrowers were Stefan Franken and Daniel Carvallo (CAP); Jean Suhas and John Keenan (CACIB); Jun Saito (SMBC); Clarence Tong (Mizuho); and Bettina Winstel (BNP Paribas).
Allen & Overy’s team included partner Dorina Yessios, and associates Ana María Rodríguez and Nathanael Kraintz.

Cleary Gottlieb Steen & Hamilton’s team was comprised of partner Chantal Kordula, associate Linda Zang and international lawyer Carla Cardoza.

Cuatrecasas’ team consisted of partner Macarena Ravinet, and associates Tomas Montes and Ronny Vaisman.
