PPU in secured borrowings of AdP granted by BCP

Philippi Prietocarrizosa Ferrero DU & Uría Peru has participated as advisor to Aeropuertos del Perú (AdP) in obtaining two permitted secured borrowings from Banco de Crédito del Perú (BCP).

The first will be used for the acquisition of equipment under the Equipment Investment Plan for the years 2024, 2025 and 2026, within the framework of the Concession Contract. This facility involved a short-term loan of USD $22,500,000.00 and a medium-term loan of USD $25,000,000.00.

The second borrowing will be for the construction of works under the Third Periodic Maintenance Programme 2024-2025, within the framework of the Concession Contract, where the short-term loan had a value of USD $34,200,000.00 and the medium-term loan had a value of USD $34,100,000.00.

Both transactions were closed and signed in June. Rodrigo Elias & Medrano acted as advisor to BCP.

The advice involved the negotiation of the financing contracts and guarantees, in compliance with the terms and conditions of the Concession Contract. As part of the transaction, the firm also negotiated with Credicorp Capital Servicios Financieros, who participated on the creditor’s side. Finally, the firm advised AdP on the process of submitting both permitted secured indebtedness and related documents to the State in order to obtain the required governmental approval.

In-house lawyers involved in the transaction were Ezequiel Ayllón for Aeropuertos del Perú, and Melissa Calderón for Banco de Crédito del Perú.
