PPU represents Mitsubishi in sale of shares to CAP
Philippi Prietocarrizosa Ferrero DU & Uría Chile has represented Mitsubishi Corporation in the sale to CAP of 100% of the shares held by the former in Cleanairtech Sudamérica (Aguas CAP), equivalent to 49% of the shares issued by that company.
The transaction had a value of USD 79.5 million. Cuatrecasas acted as Chilean counsel to the buyer.
The parties structured the transaction in two stages. The purchase and sale agreement was signed on December 26, and the closing of the transaction is subject to the fulfillment of certain conditions precedent, including the approvals of Aguas CAP’s creditors, the approval of the sale of shares as a related party transaction, and the completion of the necessary formalities with the national economic prosecutor’s office.
