Rebaza Alcázar counsels Andino Capital on first issue of securitisation bonds

Rebaza Alcázar & De Las Casas has counselled Andino Capital Servicer Sociedad Gestora de Fondos de Inversión (Andino Capital), in its role as administrator and representative of the APE Fund, which participated as originator, in the first issue of the first securitisation bond programme of the Fund for up to USD $200 million, where Acres Sociedad Titulizadora participated as trustee of the securitisation trust.

The Originator, as security for the bonds, constituted a trust asset consisting of the Receivables and Cash Flows derived from the Originator’s financing activities.

The bonds have been issued through a private offering and are aimed exclusively at institutional investors. Rubio Leguía Normand acted as advisor to the Bondholders.

The Originator is an investment fund whose purpose is to carry out financial operations in Peru, as well as to invest in debt instruments, deposits, transactions and financial instruments. The Fund is managed by Andino Capital, a renowned company specialised in providing financing alternatives through comprehensive solutions according to the needs of each client.

The proceeds from the placement of the bonds will be used to finance the Fund’s operations.

The advice involved the structuring of the programme, as well as the negotiation of the terms and drafting of the issuance documents.
