Simpson Thacher instructed on Vale Fertilizantes sale

Simpson Thacher & Bartlett is acting for The Mosaic Company on it acquisition of Vale Fertilizantes for $2.5 billion.

The Mosaic Company is one of the world’s leading producers of phosphate and potash crop nutrients. Vale Fertilizantes is a subsidiary of Vale, one of the largest metals and mining companies in the world, and focuses on phosphate and potash operations in Brazil, Canada, and Argentina.

The transaction is expected to close in late 2017, subject to regulatory approvals. Vale will receive an additional amount of up to $260 million over the two-year period following closing if certain financial metrics are achieved.
