Souto Correa assists Irani in restructuring and asset expansion
Souto Correa Advogados advised Irani Papel e Embalagem, a publicly traded company, and its subsidiary Habitasul Florestal on restructuring of their operations in the State of Rio Grande do Sul, Brazil.
As part of this strategic initiative, Irani acquired approximately 1,856 hectares of land, encompassing significant Pinus elliottii forest assets. The transaction also involved the transfer of Irani’s resin gum distillation plant to Flopal Florestadora Palmares Ltda., which will continue to operate the facility, with the plant forming part of the consideration for the land acquisition.
Following clearance from the Brazilian antitrust authority (CADE), Irani’s subsidiary entered into a 10-year rural land lease agreement with Âmbar Florestal Ltda. This lease covers both the newly acquired forest areas and existing forest assets held by the group, with a primary focus on resin harvesting operations.
This transaction represents a substantial expansion of Irani’s forestry portfolio and underscores the company’s ongoing commitment to sustainable forest management and timber commercialization.
