Souza Mello advises MSC in voluntary public offering to Log-In
Souza Mello e Torres Advogados advised MSC Mediterranean Shipping Company S.A. in a voluntary public tender offer for Log-In Logística Intermodal S.A.
The transaction will involve a voluntary public offer, pursuant to article 257 of the Brazilian Corporations Law, for the acquisition of at least 62% and up to 67% of the shares issued by Log-In Logística Intermodal S.A. by Sas Shipping Agencies Services Sàr, a wholly owned subsidiary of MSC Mediterranean Shipping Company S.A..
To date, SAS has sent Log-In a letter of intent formalizing its intention to launch the offer, subject to certain conditions precedent, which has been signed by Log-In and disclosed to the market. Log-In has confirmed its intent to cooperate and some key shareholders also expressed their interest in accepting the offer and to tender their shares in the voluntary tender offer.
