Stocche Forbes and Mattos Filho on EVM debentures
Stocche Forbes Advogados has advised Itaú BBA Assessoria Financeira on a public offering of simple, non-convertible debentures issued by EVM Evolution Mobility, a company operating in the vehicle rental industry. Mattos Filho acted for the issuer in the transaction, which closed through the CVM 160.
The offering involved a single series of debentures secured by a real guarantee, issued by EVM Evolution Mobility, in the total amount of BRL 30 million. The debentures were backed by a fiduciary assignment of the credit rights arising from the capital subscription bulletins executed by Infra BR V Mobilidade Holding I and its shareholders, pursuant to a capital call structure, together with escrow accounts for an amount equal to the aggregate principal amount of the debentures.
