Tauil & Chequer advises Pontal Energy on acquisition of Thopen

Tauil & Chequer Advogados in association with Mayer Brown advised Pontal Energy, one of the country’s largest renewable energy generators and traders, on the acquisition of Thopen Energia (formerly RZK Energia) and Thopen Soluções (formerly RZK Soluções e Participações), from the Thopen Group, for BRL1 billion. With the conclusion of the transaction, Pontal Energy now holds 67.6% of the share capital of both companies.

To finance the operation, the firm also acted as deal counsel for Pontal Energy, as issuer, and for Oslo Capital Distribuidora de Títulos de Valores Mobiliários, as lead coordinator, within the scope of the public offering of debentures issued by Pontal Energy, in the amount of BRL182.5 million.

The acquisition of Thopen Energia and Thopen Soluções will allow Pontal Energy to expand its integrated renewable energy generation platform to include distributed electricity generation projects, as well as representing an opportunity to capitalize and invest in Thopen Energia and Thopen Soluções.
