TCA acts in creation of AGROCAP trust securities programme
Tanoira Cassagne Abogados has acted as deal counsel in the creation of the global trust securities programme “AGROCAP” for a nominal value of US$20,000,000 and the transaction in the issuance of the first trust, “ALZ Agrocap Series I” under the Programme.
Banco CMF acted as trustee and issuer, and ALZ Semillas as trustee in the issuance of trust debt securities under the Trust, for a face value of $4,379,422. Banco CMF also participated as arranger, and together with Macro Securities as underwriters of the Trust.
The purpose of the issue was to finance the Trustee through the assignment to the Trust of promissory notes acquired by the Trustee and originated by companies that have been financed through one or more issues of such promissory notes, for the purpose of purchasing goods or services from one of the companies of the group (ALZ Agro, comprising ALZ Semillas, ALZ Nutrientes and ALZ Mercados).
The CNV authorised the Programme on 13 September 2023 and the Trust and the public offering of the trust debt securities were authorised on 10 October 2023.
ALZ Semillas is a young but experienced company engaged in the marketing of seeds, fertilisers and agrochemicals.
