Multiple firms advises on Eletrobras thermal plants sale to Âmbar
Tauil & Chequer, Bichara, and VBSO Advogados advise on the sale of 13 Eletrobras thermal power plants to Âmbar Energia.
Eletrobras, through its subsidiaries Eletronorte and Furnas, entered into binding contracts for the sale of the remaining portion of its thermal power plant portfolio to Âmbar Energia, a company within the J&F Group, in a transaction involving R$ 4.7 billion, with R$ 1.2 billion payment contingent on future events.
The agreement involves 13 thermal power plants in different states. For Âmbar, the operation marks a diversification of business into two new states and increases its installed capacity to 4.6 gigawatts; while for Eletrobras, the operation represents the continuity of its decarbonization project.
VBSO Advogados provided strategic tax advice to Eletrobras on the transaction, with the participation of partner Diego Miguita and lawyer Diogo Olm Ferreira.
The law firm Tauil & Chequer Advogados, associated with Mayer Brown, advised Eletrobras on all activities related to the operation, with the participation of partners Alexandre Chequer, Bruno Salzano and Débora Yanasse and associates Lucas Zamproni, Maurício Veiga, Luisa Tortolano Barreto, and Rebeca Liareno.
Bichara Advogados advised Âmbar Energia on the transaction with the participation of partners Luiz Henrique Vieira and Breno Carvalho Ganem and associates Marcel Hashimoto and João Paulo Fontoura Vieira.
