Three law firms act on the acquisition of Matera by Warburg Pincus

Pinheiro Neto advised Warburg Pincus while FreitasLeite Advogados represented Matera Systems and its controlling shareholders in the sale of a minority equity.

The transaction included the acquisition of shares from the shareholders, as well as the issuance of new shares (cash-in) and the negotiation of a new shareholders’ agreement.

Matera is a national leader in core banking systems and solutions, serving traditional and digital banks, fintechs and large retailers. Matera is also at the forefront of promoting Pix’s expansion in Brazil. Warburg Pincus’ investment is a strategic step in Matera’s international expansion.

The total value of the operation is estimated in 500 million reais (BRL).
