TozziniFreire Advogados advised Graber Sistemas de Segurança Ltda. (a subsidiary of the GPS Group) in the acquisition of Globalização and Global Segurança, both belonging to the Grupo Global.
The transaction involved a company that operates in a heavily regulated business environment and therefore, in addition to antitrust approval, the transaction is subject to approval by the Police Department of the Ministry of Justice. In addition, GPS recently completed an IPO and this was the first acquisition by the company of a GPS subsidiary as a publicly traded company.
Global Security provides security, surveillance, electronic security, fire protection and armed escort services. Globalização provides general cleaning and maintenance services, as well as general reception, concierge, and management services. The group operates in the states of São Paulo, Mato Grosso, and the Federal District, and recorded gross revenues of approximately R$280.8 million in the last twelve months ending April 30, 2021.
