TozziniFreire advises Canopy on two acquisitions
TozziniFreire Advogados advised Canopy 3 on the acquisition of shares in two technology companies headquartered in Toledo, Paraná: Maxicon Sistemas and Dunamis Sistemas.
Both target companies develop, license and support enterprise resource planning (ERP) software, focusing on clients in the agro-industrial, logistics and transportation sectors. The transaction, dubbed Project Silos, was valued at approximately BRL58 million.
The transaction required a comprehensive due diligence process and a pre-closing corporate reorganization of the target companies, both considered essential to structure the deal and mitigate risks. The negotiation also involved coordinating multiple stakeholders and, given the presence of 11 individual sellers, required collective representation mechanisms and careful alignment of interests, including for arbitration purposes.
