TozziniFreire advises Fagundes on debentures

TozziniFreire Advogados has advised Fagundes Construção e Mineração on the structuring of its second issuance of simple debentures, non-convertible into shares, carrying real and additional personal guarantees, in a single series, for public distribution. The transaction, valued at BRL 180 million, involved Fagundes Construção e Mineração as issuer and UBS BB Corretora de Câmbio, Títulos e Valores Mobiliários as underwriter.

The debenture issuance was structured with multiple layers of guarantees, a feature the firm described as involving uncommon operational procedures for a transaction of this kind.
