TozziniFreire Advogados advised the initial purchasers in the issuance and sale of notes of Coruripe Netherlands notes

TozziniFreire Advogados advised the issuance and sale of senior notes guaranteed by Coruripe Netherlands B.V., a private limited liability company organized and established under the laws of the Netherlands, with personal and real guarantees from its Brazilian subsidiaries, GTW Agronegócios S. A. and S.A. Usina Coruripe Açúcar e Álcool, respectively, and Banco BTG Pactual S.A. – Cayman Branch, Citigroup Global Markets Inc., Itau BBA USA Securities, Inc., Morgan Stanley & Co. LLC and Santander Investment Securities Inc. and XP Investmentos Corretora de Câmbio, Títulos e Valores Mobiliários S.A..

This issue was very innovative and creates many possibilities for future operations. For the first time in history, a bond issue was guaranteed based on IAA credits, an extinct Brazilian autarchy whose name means “Sugar and Alcohol Institute”. This autarchy was extinct in 1990, but owed Usina Coruripe an enormous amount of money, debt that today is a responsibility assumed by the Brazilian government and was used to guarantee the bonds issue, creating a very interesting possibility for future operations.
