TozziniFreire and Mattos Filho advise on CEMIG D issuance

TozziniFreire advised CEMIG D and the guarantor in the public offering of CEMIG D 11th issuance, in two series: the first series in the amount of BRL 1 billion and the second series in the amount of BRL 1.5 billion.

The net funds raised by the issuer from the issuance of the first series of debentures will be used to manage the issuer’s cash flow, including, but not limited to, the operation of the issuer and the reimbursement of investments made, provided that they are fully in line with the Framework (as defined in the offering documents), for the purposes of qualifying the debentures as “sustainable bonds”.

On the other hand, the net funds raised by the issuer through the issuance of the second series of debentures will be used exclusively for reimbursement of expenses and/or debts related to the implementation of the project detailed in the offering documents which occurred in the period between January 2023 and August 2023, which is aligned with the eligible categories in the Framework, for the purposes of qualifying the debentures as “sustainable bonds”.

The offering was distributed by XP Investimentos Corretora de Câmbio, Títulos e Valores Mobiliários, ABC Brasil Distribuidora de Titulos e Valores Mobiliários and UBS Brasil Corretora de Câmbio, Títulos e Valores Mobiliários and targeted at qualified investors, pursuant to CVM 160.
