TozziniFreire Advogados advised both Banco do Brasil and MSW Capital
Tozzini Freire was deal counsel on the formation of a corporate venture fund named BB Ventures I Fundo de Investimento em Participações Multiestrategia – Investimento no Exterior, with Banco do Brasil as the sole LP and MSW Capital as the sponsor/GP.
The deal was complex because it involved the creation of a single LP Corporate Venture Capital fund (Banco do Brasil is the sole LP) to be discretionarily managed by a third party sponsor/GP (MSW Capital) for the purpose of investing in early stage businesses in AgTech, GovTech and EdTech.
