TozziniFreire instructed on Merck´s acquisition in Brazil
TozziniFreire advised a group of shareholders of Vallée on its acquision by MSD, Merck’s veterinary arm.
Vallée is a privately-held producer of animal health products in Brazil with a portfolio of over 100 products spanning parasiticides, anti-infectives and vaccines.
The deal, worth $400 million, is subject to regulatory approval and will give MSD a 93% stake in Vallée. According to reports, the Vallée brand is very well known among cattle producers in Latin America and will be maintained.
Partner Darcy Teixeira Junior and Oduvaldo Lara Junior led the TozziniFreire team advising the Carneiro and Pereira families, majority shareholders of Vallée.
