Trench Rossi Watanabe acted in M&A transaction focused on Camil’s expansion in Latin America

Trench Rossi Watanabe has signaled the signing of Project Durán, referring to the acquisition by Camilatam Ecuador S.A.S. (wholly-owned subsidiary of Camil Alimentos S.A.) of the assets comprising the rice production and processing business of Agroindústrias Dajahu, as well as all the shares issued by the company Transportes Ronaljavhu S.A. in Ecuador.

Led by partners Simone Musa (pictured left) and Luciana Nóbrega (pictured right), from the Tax team, and Felipe Calil, from the Corporate & Finance team, the transaction, which represents an important step for Camil Alimentos S.A.’s expansion in Latin America, is estimated at USD 36.5 million and is expected to be financed via IFC (International Finance Corporation). Completion is subject to satisfaction of conditions.

The firm advised Camilatam Ecuador S.A.S. and Camil Alimentos S.A. in the tax and corporate structuring of the transaction, as well as in the negotiation and financing of the M&A, which demonstrates the constancy of the Corporate & Finance and Tax teams in getting involved in cases that are relevant to the market, with integrated and agile solutions.

Associates Marco Ferreira, Stefano Costa, and Bruno Silva were also involved in the transaction.
