Trench Rossi advises Coty on KKR deal

Trench Rossi Watanabe advised Coty’s Americas Professional Beauty, which becomes “Wella”

The transaction involved KKR’s agreement with Coty Professional Beauty to acquire a majority stake of Coty’s business related to the beauty brands Wella Professionals, Nioxin, Professional Sebastian, Londa Professional, Sassoon Professional, Clairol Professional, Wella Color Charm, OPI and Ghd. The company, generated through the deal, will now operate under the name “Wella”.

Under the terms of the agreement, KKR will hold a 60% stake in this new company and Coty will retain the remaining 40%. Coty said that its beauty products business in Brazil will continue to be wholly owned by the company.

In this case, Trench Rossi Watanabe was responsible for advising the Brazilian side of the project by analyzing the agreements to be executed and reviewing the shares. In addition, it provided assistance in adapting the agreements and in complying with local legislation and requirements.
