Trench Rossi and Tauil & Chequer act on acquisition of ZEG by Vibra

Trench Rossi Watanabe provided legal advice to Vibra Energia, a leading fuel and lubricant distribution company and one of the largest energy companies in Brazil, for the acquisition of 50% of the shares of ZEG Biogás, owner of several renewable biogas and biomethane projects, which was advised by Tauil & Chequer Advogados associated with Mayer Brown.

The operation involves a primary contribution of 30 million reais, and the payment of R$ 129.5 million reais to shareholders at the end of the transaction. With the agreement, Vibra also assumes the commitment to invest up to R$ 412 million in new projects over the next few years. The company has also negotiated future purchase options through which it can obtain 70% or all of the shares of ZEG.

Based on this, Vibra seeks to expand the offer of renewable products and services, strengthening its leadership position in the process of transition and decarbonization of the Brazilian energy matrix by increasing the supply of cleaner, renewable and sustainable energy.

The conclusion of the purchase is subject to the evaluation of the Administrative Council for Economic Defense (CADE).

The Tauil & Chequer team was led by partner Carlos Motta (pictured right) and associates Isabela Corrêa Souza Ribeiro and Sophia de Maio.
