TRSYM and Bruchou act in new issues of Grupo Albanesi
Tavarone Rovelli Salim & Miani acted as counsel to Generación Mediterránea and Central Térmica Roca (Grupo Albanesi) and Bruchou & Funes de Rioja as counsel to the arrangers, underwriters and settlement agent, in the co-issuance of the class XXXII, XXXIII and XXXIV notes.
The class XXXII Notes were denominated and payable in dollars at a fixed interest rate of 9.50% nominal annual interest rate maturing on 30 May 2026 for a nominal amount of USD $11,075,280; the class XXXIII Notes denominated and payable in pesos at a variable interest rate maturing on 30 May 2025 for a nominal amount of $1,109,148. 312; and the Class XXXIV Notes denominated in Unidades de Valor Adquisitivo (UVA, Units of Acquisitive Value) and payable in Pesos at the UVA value applicable at a fixed annual nominal interest rate of 5.00%, offered to the investing public in two fully fungible series: Series A of Class XXXIV and Series B of Class XXXIV for an aggregate nominal value of 4,723,361 UVAs, maturing on 30 May 2026.
The issue was made on 30 May, under the framework of the Simple Negotiable Obligations Programme (not convertible into shares) for a total nominal value of up to US$1,000,000,000 (or its equivalent in other currencies or units of measurement or value).
The Class XXXII Notes were subscribed in cash in the amount of USD $6,470,960 and in kind through the delivery of Class XIV Notes in the amount of USD $1,532,304 and Class XVII Notes in the amount of USD $3,072,016; the Class XXXIII Notes in the amount of USD $1,532,304 and the Class XVII Notes in the amount of USD $3,072,016. 016; the Class XXXIII Notes were issued in Pesos; and the Class XXXIV Series A Notes were issued in kind by means of the delivery of class XII negotiable obligations for an amount of 2,830,273 UVAs and the Class XXXIV Series B Notes were issued in cash in Pesos for an amount of 1,893,088 UVAs.
