TRSYM and Bruchou act in new issues of Grupo Albanesi Notes

Tavarone Rovelli Salim & Miani acted as counsel to Generación Mediterránea and Central Térmica Roca, and Bruchou & Funes de Rioja as counsel to the arrangers, underwriters and settlement agent, in the co-issuance of additional class XXVIII, class XXIX, class XXX and class XXIV notes.

The co-issuance took place on 8 March under the Simple Negotiable Obligations Programme (non-convertible into shares) for a total nominal value of up to US$1,000,000,000 (or its equivalent in other currencies or units of measurement or value).

The Class XXVIII Notes were denominated, integrated and payable in the country in US dollars at a fixed interest rate of 9.50% nominal per annum maturing on 8 March 2026 for a nominal value of US$ 5,547,802.

The class XXIX Notes were denominated, integrated and payable in pesos at a variable interest rate maturing on 8 March 2025 for a nominal value of $1,696,417,478.

The Class XXX Notes were denominated in Unidades de Valor Adquisitivo (UVAs) and payable in pesos at the applicable UVA value at a fixed interest rate of 0.00% nominal annual rate maturing on 8 March 2027 for a nominal amount of 6,037,123 UVAs. They were also integrated in kind through the delivery of class XII notes for an amount of 1,212,550 UVAs co-issued by the companies on 12 November 2021, and in cash in pesos at the initial UVA value for an amount of 4,824,573 UVAs.

The Additional Class XXIV Notes were denominated in US dollars and payable in pesos at the applicable exchange rate at a fixed interest rate of 5.00% nominal per annum maturing on 20 July 2025 for a nominal amount of US$ 1,911,133. The Additional Class XXIV Notes are additional to the original Class XXIV Notes issued on 20 July 2023.

The Additional Class XXIV Notes were offered to the investing public in two fully fungible series, Series A of the Additional Class XXIV and Series B of the Additional Class XXIV. Series A of the Additional Class XXIV was integrated exclusively in kind through the delivery of class XI Notes in the amount of US$ 1,503,702, which were co-issued by the companies on 12 November 2021. The Additional Class XXIV Series B was integrated exclusively in cash in Pesos at the integration exchange rate for an amount of US$ 407,431.

SBS Trading, Banco de Servicios y Transacciones, Invertironline, Balanz Capital Valores, Nación Bursátil, Bull Market Brokers, Banco de la Provincia de Buenos Aires, Macro Securities, Facimex Valores, Puente Hnos, Banco Hipotecario, BACS Banco de Crédito y Securitización, Banco Supervielle, Invertir en Bolsa, GMA Capital, Banco Santander Argentina, Don Capital, Banco CMF, Allaria and Neix acted as underwriters of the four classes of Notes. In turn, SBS Capital and Banco de Servicios y Transacciones acted as arrangers, and Banco de Servicios y Transacciones as settlement agent for the four classes of Notes.

Fabiana Marcela López León, Claudio Gastón Mayorca and María Mercedes Cabello acted as in-house counsels for Generación Mediterránea and Central Térmica Roca.
