Two Brazilian firms advise on AlmavivA’s acquisition of TIVIT

Benetti & Giammarino Advogados advised AlmavivA Group, an Italian group which is one of the largest BPO (Business Process Outsourcing) and technology services providers worldwide, on the biggest acquisition in the history of the group, involving the purchase of one hundred percent (100%) of TIVIT, a leading Latin American technology company. Mattos Filho Advogados advised Tivit and the sellers – funds advised by the British private equity Apax Partners, and Tivit’s founder Luiz Mattar.

The transaction was structured through a definitive share purchase agreement and involves the full acquisition of TIVIT’s equity by AlmavivA Group, marking a strategic step in the group’s global expansion. The deal aims to integrate TIVIT’s robust portfolio of digital services — including cloud, cybersecurity, digital platforms, and managed services — with AlmavivA’s international expertise and scale, enhancing its positioning as a key player in digital transformation across Latin America.

The acquisition is subject to regulatory approvals, and upon completion, will create a regional powerhouse in digital transformation services, with a robust combined portfolio and enhanced delivery capacity for clients across sectors such as financial services, healthcare, utilities, manufacturing, and public administration.

Benetti & Giammarino Advogados acted as lead legal counsel to AlmavivA Group in Brazil and relied on led partners Eduardo Benetti and Pedro Giammarino, and associate Mayara Sanches, of the Corporate Law/M&A team at Benetti & Giammarino Advogados.

Apax, Luiz Mattar and TIVIT were advised by Mattos Filho Advogados and Skadden, with J.P. Morgan acting as financial advisor to Apax.

Mattos Filho’s team involved partners Eduardo Marques Souza, Andrea Bazzo and Paula Camara, and associates Rosane Marques Rosado Carmona and Lorena Milanez Martini.
