Two firms act in sale of Administradora Fortaleza to Banco Safra

Mattos Filho advised Administratora Fortaleza on the sale of control of Conglomerado Financeiro Alfa to Banco Safra, wich was advised by Pinheiro Neto Advogados.

The transaction involved the sale of control of the listed companies Consórcio Alfa de Administração, Alfa Holdings, Banco Alfa de Investimento and Financeira Alfa, and is subject to the conditions precedent, including BACEN, CADE and SUSEP approvals.

The transaction value was R$ 1.030.000.000,00.

The transaction has national relevance as it brings together two of the most traditional entities in the Brazilian financial market. Nevertheless, the transaction was quite complex as it involved the acquisition of 11 companies, 4 of which are publicly-held companies and 7 are regulated companies (bank, insurance company etc.). After closing Safra will still need to conduct four tender offers of the publicly-held companies.
