Two firms advise Reag and BTG on OPA triggered by a “poison pill”

Carneiro de Oliveira Advogados and Monteiro Rusu Advogados advised Reag Investimentos and Banco BTG Pactual on the first Brazilian tender offer (OPA) triggered by a “poison pill”.

The OPA aimed to acquire up to the total number of shares issued by GetNinjas S.A. in a transaction involving approximately BRL 170 million and was coordinated by Banco BTG Pactual. The conclusion of the OPA marks the end of the series of operations that led REAG taking control of GetNinjas S.A.
