Two firms on the acquisition of ETP Paraíba by Cimento Nacional
Madrona Fialho Advogados advised Nacional Cimentos Paraíba (Cimento Nacional), an entity within the Companhia Nacional de Cimentos – CNC group which, in its turn, is controlled by Buzzi group, one of the largest cement manufacturers and distributors worldwide, on the acquisition of 100% of the equity interest held by the shareholders (Meira Lins Family) in ETP Paraíba Participações, which was advised by Batista, Fazio, Manzi e Millet Advogados,
The acquisition was carried out through the exercise by Família Meira Lins of a tag along right, triggered upon the consolidation by Buzzi of the control of the Ciment Nacional group, arising from the acquisition, by Buzzi, of the equity participation formerly held by family Brennand, ending the joint venture formed back in 2018 which remark the entrance of Buzzi into the cement Brazilian market.
The transaction, therefore, reinforce the commitment of Buzzi with the Brazilian market. The transaction valued at approximately BRL 416.5 million, was approved by CADE without any restrictions.
