Two firms advise on the acquisition of SGEF by BPCE

Cescon Barrieu advised Banque Populaire Caisse d’Epargne – BPCE – Group on the acquisition of the equipment finance business of Groupe Société Générale, which was represented by Pinheiro Neto Advogados.

The transaction including 100% of leasing company Société Générale Equipment Finance – Arrendamento Mercantil (SGEF) in Brazil, as part of a EUR1.1 billion global acquisition.

BPCE and Société Générale are two of Europe’s largest banks and this operation was considered a strategic business choice by both. The acquisition of the global activities involved in the project was carried out at a price of €1.1 billion.

White & Case acted as international counsel to BPCE and Natixis (buyers) and Jones Day acted as international counsel to Société Générale (seller) with respect to non-Brazilian jurisdictions of the transaction.
