Two law firms advise on the issuance of debentures by Eldorado
TozziniFreire acted as a Brazilian counsel to Eldorado Brasil Celulose on its issuance of simple secured debentures, in a single series, for public distribution, in the total amount of BRL 1 billion, publicly offered by Banco Nacional do Desenvolvimento Econômico e Social – BNDES.
This issuance represents Brazil’s first ever foreign-exchange-linked infrastructure debenture, a pioneering transaction in which BNDES acted as offering placement agent. This comes nearly two years after the infrastructure debenture law was enacted.
TozziniFreire relied on partners Carlos Mello (pictured left) and Daniel Laudisio (pictured center-left); Alexei Bonamin, associates Leonardo Medeiros Braghetto, Marina Maia de Souza and Marisa Bastos Pujol; and interns João Guilherme Echeverria Peralta and Ana Carolina Paniagua.
Machado Meyer advised the underwriter with partners Rafael Zono (pictured center-right) and Marcelo Lucon (pictured right); associates Mario Gomez Carrera Neto, Vitor Pisarro Bradley de Araujo and Julia Gama Ribeiro Leite Saad; and trainee Guilherme Carbonari Orlando.
