Veirano advises Housi on Honest Market deal
Veirano Advogados advised Housi Serviços Digitais on the acquisition of a 30% stake in Honest Market Brasil Gestão e Participações, which operates a network of more than 650 autonomous mini-markets across Brazil. The deal was signed and closed in October 2026, with the stake acquired directly from the company’s existing shareholders. The transaction value was not disclosed, though sources indicate it exceeds 5 million Brazilian reais.
The transaction involved Housi Serviços Digitais taking a minority position in Honest Market Brasil, a company focused on unmanned retail technology for the mini-market sector. The deal structure was negotiated directly between Housi and the sellers, with legal, financial and due diligence teams supporting both sides throughout the process.
Veirano’s team was led by Partner Carolina Vasconcelos of the firm’s Corporate & M&A practice, supported by Lucas Sales, also from the Corporate & M&A group.
On the sellers’ side, legal counsel was provided by Azevedo Barros & Barros, with the team composed of Filipe da Trindade Duarte and Daniel Barros. The sellers also received financial advice from BR|Advice, whose team included Elias Freire, Alexandre Fachga and Marcello Belliboni.
On the buyer’s side, financial advisory services were provided by Astoria Capital, represented by Yuri Carvalho, Fabio Xavier and Nicolas Prado.
