VPBG advise Ergon on the acquisition of Mineraltec

Vella Pugliese Buosi e Guidoni Advogados (VPBG), Dentons’ strategic alliance in Brazil, advised Ergon, a company active for nearly 70 years in the refining and marketing of specialty oils, asphalt, thermoplastic resins, petrochemicals and propane, on its acquisition of Mineraltec Tecnologia em Óleos Isolantes e Lubrificantes. Mineraltec is a Brazilian company that has operated for over 25 years in the production and sale of specialty oils for the electric industry in Brazil and was advised by TMM Advogados.

The transaction forms part of Ergon’s expansion into the Brazilian market and involved the purchase of shares held by Mineraltec’s founding shareholders, along with the structuring of a new governance framework to support the company’s long-term growth plans in the country.

VPBG relied on Fernando Henrique Lopes, working alongside Gustavo Quiterio. The negotiation process involved multiple selling founders with differing positions, requiring tailored solutions to reach agreement on the terms of the sale and closing.

The founding shareholders of Mineraltec were represented by Tilkian Marinelli Marrey Advogados (TMM). The team included partner André Marrey, senior associate Gabrielle Dolci Coghi and associate Isabela Galvanin Marostica.
