VPBG and Machado Meyer act on TAQA’s acquisition of GS Inima
Vella Pugliese Buosi e Guidoni Advogados (VPBG), Dentons’ strategic alliance in Brazil, has advised Abu Dhabi National Energy Company PJSC (TAQA), one of the largest global conglomerates in the water and infrastructure sector, on the acquisition of GS Inima, a world leader in water treatment and desalination, which was advised by Machado Meyer Advogados.
The deal worth US$1.2 billion, marks a key step in TAQA’s expansion in Europe, Latin America and Asia, establishing the company as a leading, integrated, global platform for water-related solutions.
The acquisition encompasses GS Inima projects in 10 countries, including Spain, Mexico, the United States and Oman, in addition to Brazil, and includes approximately 50 active projects, comprised of 30 long-term public-private partnerships and a portfolio of desalination and water treatment assets.
The closing of the transaction, expected in 2026, is subject to regulatory approvals and the fulfillment of conditions in these countries.
While Dentons has coordinated and led the global transaction, through Iain Black, corporate partner in the UAE, alongside Darren Acres, co-head of UK Corporate, in Brazil VPBG relied on partner Pedro Seraphim, (pictured left) alongside of counsel Gustavo Lourenço Quiterio, lawyers Camila Teixeira Fortes, Pedro Gaio, Thais Pedace, Victoria Schwartz Moreira and Lara Letícia Tavares Melo Andrade.
Given the global scope of the deal, TAQA was also advised by other international teams from Dentons, led by Jesús Durán and Javier Moya in Spain, Amanda Valdez in Mexico, Juliet Astbury in the USA, Yasser Taqi in Oman and Hong Chan (陈康) in Vietnam.
GS Engineering & Construction relied globally on the assistance of K&L Gates and, in Brazil, on Machado Meyer.
