White & Case acts for Abraaj Mexico Advisers on buyout by Colony Capital
Global law firm White & Case has advised Abraaj Mexico Advisers, currently Colony Mexico Advisers, on its acquisition by US real estate and investment management firm Colony Capital.
Abraaj Mexico Advisors is the manager of the irrevocable issuance trust of capital development certificates, structured instruments specially tailored to allow pension funds to invest in private equity projects, Certificados de Capital de Desarrollo (CKDs).
As part of the acquisition, White & Case assisted in implementing a change of control of the manager, so that the trust will ceased to be managed by the Abraaj Group and instead will be managed by Colony Capital.
In addition to the acquisition and change of control process, White & Case advised the trust in the registration update process of the capital development certificates before Mexico’s National Banking and Securities Commission.
The White & Case team that advised on the transaction was led by partner Manuel Groenewold (pictured), and included local partner Roberto Ríos Artigas, and associates Carlos González Navarro, Ulysses Casanova and Ricardo Pous Fritz, all of whom are based in the firm’s Mexico City office.
