wm&t and Dias Carneiro on Sul Concessões issuance
wm&t Advogados and Dias Carneiro Advogados advised on the 3rd (third) issuance of simple debentures, non-convertible into shares, secured by in rem guarantee, of Sul Concessões e Participações, for public distribution pursuant to CVM 160.
The transaction value was BRL 109 million and the infrastructure project related to the issuance was considered priority by the Federal Government under the terms of Law 12.431, which ensures income tax exemption to individual and some foreign investors and reduces the income tax incurred by companies who acquire “incentivized debentures”, with the aim of financing infrastructure investment projects and promoting the capital markets as a long-term source of funds for the infrastructure industry.
The amount raised will be used to finance sanitation projects in four municipalities in the southern region of Brazil, for water supply and sewage systems.
