PPU represents Tambo on $40m loan

PPU Peru has assisted Tiendas Tambo in a USD 40 million syndicated loan from three banks

Philippi Prietocarrizosa Ferrero DU & Uría has represented Tiendas Tambo S.A.C. as borrower on a syndicated loan of 150 million soles (US$40 million) granted by Banco Internacional del Perú, Banco de Crédito del Perú and Banco Interamericano de Finanzas. The advice included the negotiation of the financing documents: a loan agreement and a guarantee trust.

Thanks to this transaction, closed on 24 February, the loan proceeds will be used by Tambo to prepay some and for corporate uses. One of the main challenges is to regulate (not only in the loan agreement, but also in the guarantee trust agreement) the provisions relating to the management of the sites, depending on how Tambo operates the business.

CMS Grau acted as counsel to Banco Internacional del Perú, while Sumara Hub acted as counsel to La Fiduciaria as trustee and credit agent.

Tiendas Tambo is a company dedicated to the management of the “Tambo” mini-markets, which has more than 300 shops.

CMS Grau team was composed by Miguel Viale and Mateo Lanata.

Sumara Hub was represented by Gabriela Cuadro.

PPU’s team included partner Antonio Guarniz (pictured left) and associate Victor Bravo (pictured right).
