Two firms act in the JV investment in SPEs by Klabin and TIMO
Pinheiro Guimarães and Machado Meyer acted in the joint investment in 4 special purpose companies (SPEs) by Klabin and a Timber Investment Management Organization (TIMO).
The SPEs will be controlled by Klabin and their main objective will be to explore forestry activities in the states of Paraná, São Paulo and Santa Catarina.
The assets of the SPEs will consist mainly of part of the forestry assets from the Caetê Project, in addition to the following assets and resources to be contributed by Klabin and TIMO: Klabin – contribution of 23,000 hectares of planted forests and 4,000 hectares of productive land; and TIMO – contribution of R$ 1.8 billion in cash, with the first installment on the closing date of the Plateau Project and the remainder scheduled for the second quarter of 2025.
TIMO may make additional contributions to the SPEs until the second quarter of 2025 in the aggregate amount of up to R$0.9 billion. All investments are subject to possible adjustments to the terms of the agreements.
