Tauil & Chequer Advogados advises Gerdau on different issues
Tauil & Chequer Advogados in association with Mayer Brown acted as legal advisor to Gerdau in the public offering of notes with a coupon of 5.750% and maturity in 2035, in the amount of USD 650 million.
The public offering was registered with the U.S. Securities and Exchange Commission (SEC) and coordinated by Bank of America, Goldman Sachs, J.P. Morgan, Morgan Stanley, BBVA, BNP Paribas, BTG Pactual, Citi, Mizuho and Santander.
At the same time as issuing the bonds, the firm also advised Gerdau on the tender offer for the 4.875% notes due 2027 in circulation, for a total amount of approximately USD 238 million.
The team was led by partner Rodolfo Tella (pictured left), from the Capital Markets & Securitization practice, and included partner Giampaolo Marzulli (pictured right), from the Tax practice, and associates Natália Minotto and Camilla Hehnes, both from the Capital Markets & Securitization practice.
Tauil & Chequer Advogados also represented Gerdau in connection with the 19th issue of simple debentures, not convertible into shares, in the amount of R$ 1.4 billion.
The debentures were placed through a public offering, under the terms of CVM Resolution 160, under the coordination of Santander, Itaú BBA and XP Investimentos.
The debenture issue was also led by partner Rodolfo Tella with the participation of associate Camilla Hehnes, both from the Capital Markets practice.
