BMA advises Totvs on BRL 3.05bn acquisition of Linx unit
BMA advised Totvs on the acquisition of all shares of Linx Participações, which is expected to hold, at closing, a portion of Linx’s software business segment, for a total amount of BRL 3,05 billion, subject to adjustments based on the company’s cash/net debt position at the closing date and with no earn-out provision.
Closing of the transaction is subject to approval by the Brazilian antitrust authority (CADE) and the fulfillment of other customary regulatory requirements and conditions precedent, including approval of the transaction by TOTVS’s shareholders at a general meeting, as amend.
