TozziniFreire and Tauil & Chequer act on Taesa-Energisa deal

TozziniFreire advised Taesa on the acquisition of five electricity transmission concessionaires from Grupo Energisa for BRL 2.293 billion, in a transaction that expands the buyer’s operations across Brazil’s North and Midwest regions with over 1,300 kilometres of high-voltage lines. Tauil & Chequer in Association with Mayer Brown advised the sellers. The deal’s enterprise value incorporates the assumption of net debt totalling BRL 748 million, leaving a net equity value of BRL 1.545 billion.

The acquired assets are located in the states of Tocantins, Pará, and Goiás, encompassing 12 fully operational substations. Closing of the transaction is subject to the fulfilment of conditions precedent, including mandatory regulatory approvals. Given that the assets constitute regulated infrastructure, the deal requires sign-off from Aneel, the electricity sector regulator, and from Cade, the competition authority responsible for assessing whether the economic concentration could harm the consumer market.
